a. “Confidential Information” means all nonpublic information related to financial, proprietary, technology, customers, business plans, promotional and marketing materials, and other business affairs of and disclosed by a party, its affiliates, or its agents (the “Disclosing Party”) to the other party (the “Receiving Party”) that is designated as confidential or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential. Confidential Information shall not include information that has: (i) become publicly known through no action by the Receiving Party; (ii) can be shown by documentation to have been known by the Receiving Party prior to receipt; (iii) is received from a third party who did not acquire or disclose such information by wrongful or tortious act, or (iv) can be shown by documentation to have been independently developed by the Receiving Party without reference to any Confidential Information.
b. “Venue,” “Our,” “We,” or “Us” means Venue Workspace Inc.
c. “You,” “Your” or “Member” means the Authorized Member as listed above.
d. “Other Member” means any other Member of Venue that is authorized to be at the Facility.
e. “Membership” means use of the Facilities as described in this Agreement.
f. “Facility” or “Premises” means the area controlled by Venue within the building located at 1275 West 1600 North, Orem, Utah 84057.
g. “Membership Details” means the details listed in the table on page one of this Agreement.
Community Rules
1. Venue personnel are available onsite to help you and answer questions. We expect You to be courteous to Venue personnel and Other Members, and handle Your needs, including cleaning up Your workspace.
2. Memberships:
a. Open Desk Members may use any workspace that is not reserved by Other Members. Desktop computer monitors may not be used by Open Desk Members without written permission from Venue. Any approved equipment is used at Your own risk, and Venue is not liable for loss, damage, or malfunction. We also expect You to use the chair provided by Us.
b. Dedicated Desk Members have a desk reserved for their use only. A Dedicated Desk Member may bring a desktop computer monitor and store personal items at the desk at Your own risk.
c. Private Office Members may bring personal items and technology to be used in the office.
d. All Members may use the common space available at the Facility.
3. Rooms.
a. Conference rooms may be reserved by You up to the amount of time listed in the Membership Details. Reservations must be made online in advance.
b. Phone booths are available for use. Please use phone booths for calls and be respectful of others by refraining from taking calls outside of the phone booths.
c. If You need to step into a room to quickly finish a conversation or take a note, please complete Your task and vacate the room as quickly as You can to allow Other Members to reserve or use the room.
d. After use of a room, please erase whiteboards, throw away any trash or garbage, push in the chairs, and wipe down any messes that You may have caused.
4. Acceptable Use.
The Venue Facility, including conference rooms, meeting spaces, and other amenity spaces, are intended for community engagement, collaboration, and professional networking – and, as such, We expect members to maintain a neutral and inclusive environment for all. Hosting political, religious, or other potentially divisive events or gatherings is strictly prohibited. This includes, but is not limited to, rallies, fundraisers, campaign launches, prayer meetings, or other activities aimed at promoting or endorsing specific political or religious ideologies. If You have questions about the appropriateness of a specific event or use, please see a member of the Venue team.
5. Guests.
You may bring guests to Venue; however, they must be always accompanied by You. If a guest visits more than twice a month, they will be required to obtain their own membership to Venue.
6. Mail.
The address of the Venue Facility may be used for mail and packages, please contact a member of the Venue team for more information.
7. Internet Access.
All devices that connect to the internet must be approved and installed by a member of the Venue IT team. Use of personal hotspot devices is not permitted.
8. Noise.
Venue asks that all members be mindful of their noise levels, including during phone and conference calls.
9. Kitchens.
Members may use the kitchen available at the facility. Fridges will be cleaned on a regular basis. Personal dishes will be discarded if left in the kitchen. Please pick up after Yourself and throw any trash in the garbage bin.
10. Cleanliness.
Venue provides a cleaning staff to clean the facility daily. Please push in chairs when You are done and throw away any personal garbage. Please be mindful of the bathroom and kitchen and try to leave them better than You found them.
11. Maintenance.
All maintenance or improvements should be done by approved Venue staff or vendors. Doing Your own maintenance work or hiring a third party to perform any maintenance or improvements is not permitted.
12. Use of Personal Property.
Members are prohibited from using, borrowing, or interacting with any personal items or belongings of other Members, unless written permission has been obtained from the owner of those items. This includes, but is not limited to, personal equipment, electronics, monitors, or other personal property. Any violation of this rule may result in disciplinary action, including potential termination of Membership.
What is Included in the Membership.
a. Non-exclusive access to the Venue 24 hours a day, 7 days a week.
b. Regular maintenance and cleaning of the facilities
c. Available desk space with chairs in the workspace.
d. Dedicated desks for those who choose that option.
e. Private offices for those who choose that option.
f. Internet access via wireless network access, subject to Your compliance with this Agreement and Venue policies.
g. Use of copiers, scanner, and printers throughout the facility up to the amount listed in the Membership Details.
h. Use of meeting rooms, subject to availability, which is a first come, first serve basis, and up to the amount listed in the Membership Details. Reservations must be made online in advance.
i. The ability to use the Facilities address as Your registered address for You or Your company, and acceptance of mail and deliveries on behalf of You.
j. Use of the basement facilities, including the kitchen, ping pong tables, pool table, arcade, and fitness room is included in the cost of the Membership for Dedicated Desk and Private Office Members only. Please be respectful and courteous of others’ rights to use those facilities and leave them better than You found them.
Pricing and Payment:
a. Billing.
We will bill You for the Membership monthly in advance on the first day of each month.
b. Security Deposit and Damages to the Facility.
There is no security deposit, however if You cause damage to the Premises, property, or other member’s property, We reserve the right to bill You the amount it costs to repair that damage or reimburse Other Members for the damage caused.
c. Late Payment.
If We have not received the membership fee by the 7th of the month, You will be responsible to pay a 10% late fee of the outstanding balance each month You are late.
d. Outstanding Fees.
We reserve the right to withhold access to the Facility or terminate this Agreement if do not pay Us outstanding fees within ten (10) days of being given notice of the outstanding fees.
Member Responsibilities
a. You agree that:
i. You will abide by all applicable laws and regulations in Your use of the Facility,
ii. You will comply with all sections of this Agreement and the Terms of Use, including any exhibits or attachments. We may add to the rules and guidelines governing the use of the Facility at any time and will use commercially reasonable effort to notify of the change to the rules or guidelines.
iii. You will keep all areas neat, clean, and open to other members clean and clear for the use of others.
iv. You will promptly notify Us of any changes to Your contact information that You provided to Us above.
v. You will immediately report any loss or damage to any key cards, physical keys, or fobs provided by Us to You. Any damages or costs associated with replacing a key card, physical key, or fob, including changing the locks if We deem it necessary, will be reimbursed to Us by You. At a minimum, You agree to pay Us $20.00 to replace any key card, key fob, physical key, or parking pass issued to You.
vi. the Facility has limited office space and open desks are available on a first-come, first-serve basis. We may not guarantee that an open desk will always be available.
vii. You are responsible to review the fire escape plan and first aid supplies in the Facility.
b. You agree not to:
i. Make copies of any key fobs, physical keys, key cards, or parking passes provided to You.
ii. Act in a way that would be reasonably interpreted as offensive,
iii. Modify or damage the Premises in any way, including without limitation attaching, affixing, or hanging any items to the walls or ceilings without Our prior written consent.
iv. Copy, disclose, or take information belonging to Other Members.
v. Use Our name, logo, or trademarks in any advertising, marketing, or publicity.
vi. Allow anyone onto the Premises without permission,
vii. Take photos or videos of the Premises without Our express, written permission.
c. Confidentiality:
i. The Receiving Party agrees that the Confidential Information shall be used by the Receiving Party solely to evaluate the potential business relationship. The Receiving Party shall use the same efforts to protect the confidentiality of the Confidential Information as it uses to protect its own confidential and proprietary information, but in no case less than a reasonable degree of care. The Receiving Party shall not disclose, disseminate, or permit any of its employees to disclose or disseminate, the Confidential Information to any third party without the Disclosing Party’s prior written consent. The Receiving Party may only disclose Confidential Information to its employees or agents who have a need to know such information and will contractually require such employees or agents to comply with obligations of confidentiality.
ii. Due to the shared nature of the Facility, there is the possibility that You will overhear, see, or be exposed to confidential or sensitive information of Other Members.
iii. You will preserve the confidential information of any Other Member or user of the Facility. You will not disclose or make available to any other person the Confidential Information of Other Members or user of the Facility without their express, written consent.
Waiver and Release.
In consideration for the use of the Facilities, You release Venue from any and all liabilities, claims, costs, losses, attorneys fees, or damages arising under this Agreement or from Your use of the Facility, whether resulting from the loss of personal property, theft of personal property, property damage, personal injury, illness, death, inadequate security, or issues related to the cybersecurity of Your property. This release of claims and waiver applies to Your use of the Facilities, Your travel to and from the Facilities, and Your use of the parking areas surrounding the Facilities.
